Welcome to Optimal Time Fitness, operated in connection with optimaltimemanagement.com (the "Site"). These Terms and Services ("Terms") govern your access to our website, digital content, membership programs, group classes, personal training, nutrition coaching, and related services (collectively, the "Services") offered to users located in the United States. By accessing the Site, enrolling in a membership, or participating in any program, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("Member," "you," or "your") and Optimal Time Fitness ("we," "us," or "our"). Your electronic acceptance, payment of fees, check-in at our facilities, or continued use of the Services constitutes acceptance. We may modify these Terms at any time by posting updated Terms on the Site. Material changes will be indicated by updating the "Last Updated" date. Your continued use after changes constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least eighteen (18) years of age to enroll in a membership or purchase Services online. Individuals between sixteen (16) and seventeen (17) may participate only with parental or guardian consent and supervised approval. You represent that information you provide is accurate and that you are legally permitted to enter into this agreement under applicable state law.

3. Description of Services

Optimal Time Fitness provides diet and fitness-related Services including but not limited to: gym access, group exercise classes (yoga, HIIT, strength, cycling, Pilates, bootcamp, and others), personal training sessions, nutrition workshops and meal-planning guidance, fitness assessments, digital newsletters, and educational content. Service availability, class schedules, coach assignments, and facility amenities may change due to maintenance, holidays, weather, staffing, or operational requirements. Schedules published on the Site are illustrative and not guaranteed.

4. Membership Plans and Enrollment

Membership tiers (Bronze, Silver, Gold, Platinum, and promotional offerings) are described on our Pricing page. Benefits per tier—including nutritional plans, group class access, and personal training—are as stated at enrollment. We reserve the right to modify tier benefits for new enrollments with notice; existing paid periods are generally honored as purchased unless otherwise required by law.

Enrollment may require completion of a health questionnaire, waiver, and payment authorization. You agree to provide truthful health information. We may deny or revoke membership if we reasonably believe participation poses risk to you or others.

5. Fees, Billing, and Payment

Membership fees are billed on a recurring monthly basis unless a different term is expressly agreed in writing. By enrolling, you authorize us and our payment processors to charge your designated payment method on each billing cycle until cancellation. Prices are listed in U.S. dollars. Applicable sales tax may be added where required.

Failed payments may result in suspension of access until the account is brought current. Late fees, if any, will be disclosed at enrollment. Promotional pricing, introductory offers, and discounts are time-limited and may require eligibility verification. Misuse of promotions may result in charge adjustments or termination.

6. Cancellation and Refunds

You may cancel your membership by submitting written notice to contact@optimaltimemanagement.com. Cancellation is effective at the end of the current prepaid billing period unless applicable state law requires otherwise. We do not provide prorated refunds for partial months except where mandated by law or expressly stated in a promotion.

Specialty programs (e.g., Body Transformation Bootcamp) may have separate cancellation windows disclosed at registration. No-shows for personal training without required notice may forfeit sessions per program rules communicated at booking.

7. Freeze and Transfer Policies

Medical or military freeze requests may be accommodated with documentation, subject to approval and maximum duration limits. Memberships are personal and non-transferable unless we authorize a transfer in writing. Corporate and household plans are governed by separate agreements.

8. Class Booking, Attendance, and Conduct

Group class capacity is limited. Members must reserve sessions where required and arrive on time. Late entry may be denied for safety. You agree to follow coach instructions, use equipment properly, and respect other members. Prohibited conduct includes harassment, intoxication, unsafe lifting, filming others without consent, and discriminatory behavior. Violations may result in immediate removal and termination without refund.

9. Health Disclaimers and Assumption of Risk

Physical exercise and dietary change involve inherent risks including injury, illness, or aggravation of pre-existing conditions. You should consult a physician before beginning any program. You voluntarily assume all risks associated with participation and release Optimal Time Fitness, its officers, employees, contractors, and agents from claims arising from ordinary negligence related to inherent fitness activities, to the fullest extent permitted by law.

Our Services do not constitute medical advice, diagnosis, or treatment. Nutrition guidance is educational and general unless provided under licensed professional scope as disclosed. Report injuries or incidents to staff immediately.

10. Personal Training and Nutrition Services

Personal training sessions included in Platinum or purchased separately expire per disclosed terms. Nutrition workshops and meal plans are educational tools; individual results vary. You are responsible for disclosing allergies, medications, and dietary restrictions. We are not liable for outcomes resulting from incomplete disclosure.

11. Website and Digital Content

Content on the Site—including text, graphics, logos, videos, and software—is owned by or licensed to us and protected by intellectual property laws. You may view content for personal, non-commercial use only. You may not scrape, reproduce, redistribute, or create derivative works without written permission.

12. User Submissions and Communications

When you submit forms, emails, or feedback, you grant us a non-exclusive license to use that content to operate and improve the Services. You represent that your submissions do not violate third-party rights or law. We may monitor communications for safety and quality assurance.

13. Email and Marketing

Marketing emails are sent only with consent where required. You may unsubscribe via the link in emails or our Unsubscribe page. Transactional messages related to your account may still be sent. See our Privacy Policy for data practices.

14. Third-Party Links and Tools

The Site may link to third-party websites or integrate third-party payment and analytics tools. We are not responsible for third-party content, policies, or failures. Your use of third-party services is at your own risk.

15. Disclaimer of Warranties

THE SERVICES AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED ACCESS, ERROR-FREE OPERATION, OR SPECIFIC FITNESS RESULTS.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.

Some states do not allow certain limitations; in those states, our liability is limited to the fullest extent permitted.

17. Indemnification

You agree to indemnify and hold harmless Optimal Time Fitness and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, misuse of the Services, violation of law, or injury to third parties caused by your conduct.

18. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where consumer protection laws of your state of residence mandate otherwise. Any dispute shall first be addressed through good-faith negotiation via email. If unresolved within thirty (30) days, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may seek injunctive relief in court for intellectual property or unauthorized access.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION TO THE EXTENT PERMITTED BY LAW.

19. Termination

We may suspend or terminate your access immediately for breach of these Terms, non-payment, fraudulent activity, or conduct threatening safety. Upon termination, your right to use the Services ceases. Provisions that by nature should survive (payment obligations, disclaimers, limitation of liability, indemnity, dispute resolution) shall survive.

20. Miscellaneous

These Terms, together with our Privacy Policy and any signed addenda, constitute the entire agreement. If any provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign your rights without our consent; we may assign in connection with a merger or sale.
